Preliminary Note

These Terms and Conditions govern the relationship between CPD Certification Centre and all providers, trainers, organisations, and individuals who use CPD Certification Centre accreditation services. Please read them carefully before registering or submitting any application. By registering as an Approved Provider or submitting an application for any CPD Certification Centre accreditation service, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions in their entirety.

1. Definitions and Interpretation

In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:

“CPD Certification Centre” / “we” / “us” / “our” means CPD Certification Centre, whose principal place of business is at Lynn Road, Ely, Cambridgeshire, CB6 1RY, United Kingdom. Contact: info@cpdcertificationcentre.co.uk | +44 7418 354137 | cpdcertificationcentre.co.uk.

“Approved Provider” / “you” / “your” means the sole trader, company, organisation, charity, limited liability partnership, or other legal entity that has registered with CPD Certification Centre and been granted Approved Provider status in accordance with these Terms and Conditions.

“Applicant” means any sole trader, company, organisation, or individual who has submitted a registration or accreditation application to CPD Certification Centre but has not yet been granted Approved Provider status.

“Contract” means the legally binding agreement formed between CPD Certification Centre and the Approved Provider upon acceptance of these Terms and Conditions, as more particularly described in clause 2.

“Services” means all CPD accreditation services provided by CPD Certification Centre, including but not limited to Provider Accreditation, Course Accreditation, Webinar Accreditation, Workshop Accreditation, Event Accreditation, Podcast Accreditation, Trainer Accreditation, eLearning Accreditation, and Publication Accreditation.

“Accreditation” means the formal status awarded by CPD Certification Centre to a provider, activity, trainer, or other submission following successful assessment against the CPD Certification Centre Accreditation Framework.

“Activity” or “Activities” means any CPD learning content or programme submitted for individual accreditation, including but not limited to courses, webinars, workshops, events, conferences, podcasts, eLearning programmes, and publications.

“Materials” means all content, resources, documentation, and supporting materials supplied by you to CPD Certification Centre in connection with any accreditation application or submission.

“CPD Certification Centre Accreditation Mark” means any logo, mark, badge, certificate, identification number, or other credential issued by CPD Certification Centre to denote accredited status.

“Accreditation Plan” means the contractual package selected by the Approved Provider for the accreditation of a defined number of Activities over a specified term.

“Accreditation Term” means the period for which a granted accreditation remains valid, as specified in the relevant section of these Terms and Conditions or confirmed in writing by CPD Certification Centre.

“CPD Certification Centre Directory” means the publicly accessible online listing of CPD Certification Centre Approved Providers, accredited courses, and other accredited activities maintained on the CPD Certification Centre website at cpdcertificationcentre.co.uk.

“Fee” means any charge payable by you to CPD Certification Centre in connection with any chargeable Service.

“Chargeable Service” means any Service provided by CPD Certification Centre that is subject to a Fee.

“Non-Chargeable Service” means any Service provided by CPD Certification Centre that is provided without charge at the time of use.

“Accreditation Officer” means the CPD Certification Centre team member assigned to manage your accreditation application and provide guidance throughout the assessment process.

“Expired” means that an accreditation or Approved Provider account has reached the end of its valid term or has been set to expired status in accordance with these Terms and Conditions and is no longer valid.

“Suspended” means that an accreditation or Approved Provider account has been temporarily placed on hold due to an account issue, payment failure, or breach of these Terms and Conditions, pending resolution.

“Website” means the CPD Certification Centre website located at cpdcertificationcentre.co.uk.

1.1 References in these Terms and Conditions to “writing” or “written” include email unless the context otherwise requires.

1.2 The headings in these Terms and Conditions are for convenience only and shall not affect their interpretation. Words importing the singular include the plural and vice versa. References to persons include legal entities.

1.3 These Terms and Conditions constitute the entire agreement between you and CPD Certification Centre in relation to the Services and supersede all prior representations, negotiations, understandings, or agreements, whether oral or written, relating to the same subject matter.

2. Approved Provider Registration

2.1 Approved Provider registration is a Non-Chargeable Service. To register as an Approved Provider with CPD Certification Centre, you must complete the Approved Provider registration form on the Website fully and to the best of your knowledge and belief.

2.2 A legally binding Contract will be formed once you submit your Approved Provider registration form and accept these Terms and Conditions. Your digital acceptance of these Terms and Conditions will constitute your agreement to be bound by the Contract. The Contract will be subject to and enforceable under these Terms and Conditions from the date of acceptance.

2.3 Submission of the Approved Provider registration form does not constitute confirmation of Approved Provider status. Your application will be assessed by CPD Certification Centre against our provider approval criteria, and the outcome will be confirmed to you in writing. Chargeable Services will not be available to you until written confirmation of Approved Provider status has been received.

2.4 You confirm that you are an appropriately authorised individual to accept these Terms and Conditions on behalf of your organisation and to enter your organisation into this Contract.

2.5 If payment is taken for a Chargeable Service before your Approved Provider application has been accepted, or in the event that your application is subsequently rejected, the Fee paid will be refunded to you within 14 days.

2.6 Approved Provider status is granted to the organisation named in the registration form. You are not permitted to transfer your Approved Provider status, accredited Activities, or CPD Certification Centre Accreditation Marks to another organisation, entity, or account without the prior written consent of CPD Certification Centre. This applies in all circumstances, including company acquisition, merger, and rebranding.

2.7 If your organisation undergoes a change of legal name, you are required to notify CPD Certification Centre in writing as soon as reasonably practicable. Failure to notify the CPD Certification Centre of a name change may result in the suspension of your Approved Provider account.

2.8 If your organisation is a UK limited company and initiates a voluntary or compulsory strike-off process, or is dissolved, you must notify CPD Certification Centre at the earliest opportunity. Upon the date of strike-off or dissolution, all accreditation held under your Approved Provider account will be set to Expired and will no longer be valid. Any outstanding fees remain payable and must be settled prior to any strike-off action.

2.9 Upon being granted Approved Provider status, your organisation will be issued a unique Approved Provider certificate, logo, and identification number. These credentials are issued solely to confirm your organisation’s successful completion of the Approved Provider assessment and may not be used to imply that any specific Activities delivered by your organisation are individually accredited by CPD Certification Centre. Approved Provider credentials must not be used on learner or participant certificates.

2.10 All CPD Certification Centre Accreditation Marks, logos, certificates, and identification numbers issued to you must be used in accordance with the CPD Certification Centre Brand Guidelines, as published or provided to you from time to time. CPD Certification Centre reserves the right to update its Brand Guidelines and will notify you of material changes in writing.

2.11 Upon being granted Approved Provider status, your organisation’s details will be listed on the CPD Certification Centre Directory. You are responsible for ensuring that all information listed in your directory profile is accurate and kept up to date.

2.12 All Approved Provider accounts are subject to periodic audits to verify ongoing compliance with CPD Certification Centre Approved Provider criteria. You are required to respond to any requests for additional or updated information from CPD Certification Centre within a reasonable timeframe. Failure to provide requested information may result in the suspension of your account and associated accreditations.

2.13 If Chargeable Services are not accessed within the following timeframes, your Approved Provider account will be set to Expired and access will be restricted unless otherwise agreed in writing by CPD Certification Centre:

For organisations based in the United Kingdom: 12 months from the date of Approved Provider status being granted.

For organisations based outside the United Kingdom: 6 months from the date of Approved Provider status being granted.

This provision does not apply to Approved Providers whose sole use of CPD Certification Centre services is Event Accreditation.

2.14 Where an Approved Provider account has been set to Expired, you will no longer be permitted to use any CPD Certification Centre Accreditation Marks, including your Approved Provider logo, certificate, or identification number. You are not permitted to create a new account or submit a new registration in order to circumvent, reset, or reactivate an expired account. CPD Certification Centre reserves the right to remove any duplicate accounts created for this purpose, which will constitute a breach of these Terms and Conditions.

3. Accreditation Services

3.1 CPD Course Accreditation (Chargeable Service)

3.1.1 CPD Course Accreditation is a Chargeable Service available to Approved Providers. Every course submitted for accreditation is assessed individually against the CPD Certification Centre Accreditation Framework. CPD Certification Centre does not operate a blanket accreditation methodology. Each course is reviewed on its own merits to ensure that universal standards are applied consistently across all accredited Activities.

3.1.2 The accreditation assessment covers the learning materials, educational content, and supporting resources submitted for the delivery of the course. You acknowledge that the assessment is limited to an evaluation of these materials against the CPD Certification Centre Accreditation Framework and does not constitute a technical verification of the accuracy or completeness of the underlying subject matter content, which remains your sole responsibility.

3.1.3 To enable the CPD Certification Centre to carry out the assessment, you are required to supply all learning materials, content, and delivery resources relevant to each course submitted, including but not limited to learner materials, videos, PDF documents, handouts, lesson plans, presentations, and any other resources used in the delivery of the course.

3.1.4 Each course must be submitted as an individual, standalone subject. Submissions covering multiple distinct subjects will be returned with a request to resubmit them as separate individual applications. The accreditation process will not commence until submissions are correctly separated and resubmitted.

3.1.5 All course applications are subject to a pre-screening process to confirm that submissions are complete and compliant with CPD Certification Centre submission requirements. The full assessment process will not commence until any returned applications have been resubmitted with all required actions completed.

3.1.6 You must not claim, market, promote, or represent your courses as CPD Certification Centre accredited until accreditation has been formally granted in writing and your accreditation credentials have been made available in your Approved Provider account. Submission of a course for assessment is not an indication that accreditation has been granted.

3.1.7 CPD Certification Centre reserves the right to request additional documentation or signed policy documents in connection with specific course subject matter prior to commencing the assessment process. Where you are unable or unwilling to provide such documentation, the affected courses will not proceed to assessment until the required materials are received.

3.1.8 Once a course has been submitted and assessment has commenced, you may not alter, remove, or substitute the course in any way, including changes to the course title, content, or delivery method, without prior written consent from CPD Certification Centre.

3.1.9 Upon submission of a course for accreditation, you are required to confirm the authenticity of all submitted materials and to warrant that you own or hold the appropriate licences for all content submitted. CPD Certification Centre accepts no liability for any intellectual property infringement arising from materials submitted by you.

3.1.10 Assessment will generally commence within 2 to 3 weeks of a complete, compliant submission being received, with full assessment typically completed within 6 weeks. These timeframes are provided as a guide and may vary depending on the length, complexity, and volume of submissions received. CPD Certification Centre will notify you of any material delay.

3.1.11 Upon successful accreditation, each course will be assigned a unique CPD Certification Centre accreditation number, issued with the CPD Certification Centre course accreditation mark, and listed on the CPD Certification Centre Directory. You will be able to issue branded CPD Certification Centre learner certificates from your Approved Provider account.

3.1.12 CPD credits assigned to an accredited course are calculated on the basis of active learning time, with one CPD credit equating to one hour of structured learning engagement. CPD credits are valid from the date accreditation is granted and cannot be backdated to learners who completed the course prior to the accreditation date.

3.1.13 If you make significant changes to an accredited course during the Accreditation Term that affect the learning objectives, content, or delivery method, the updated course must be resubmitted to the CPD Certification Centre for reassessment. Resubmission following changes is included at no additional cost within your current Accreditation Plan.

3.1.14 CPD Certification Centre reserves the right to decline accreditation for any course on the grounds of subject matter, content, delivery approach, ethical concerns, suitability for professional development purposes, or any content that may cause harm, distress, or pose a risk to learners, providers, or the reputation of CPD Certification Centre.

3.1.15 Unused accreditation slots within an Accreditation Plan that are not utilised during the contracted plan term are non-refundable and cannot be carried forward to a renewed or extended plan.

3.1.16 Upon expiry or termination of your Accreditation Plan, you are no longer permitted to use any CPD Certification Centre Accreditation Marks in connection with the affected courses and must cease all claims, marketing, and promotion of such courses as CPD Certification Centre accredited with immediate effect.

3.2 CPD Webinar Accreditation (Chargeable Service)

3.2.1 CPD Webinar Accreditation is a Chargeable Service available to Approved Providers. Each webinar submitted is assessed individually against the CPD Certification Centre Accreditation Framework. Blanket accreditation is not applied.

3.2.2 To enable the CPD Certification Centre to carry out the assessment, you are required to supply all information and materials outlined in the webinar accreditation application. CPD Certification Centre reserves the right to request additional documentation to support the assessment process. The assessment will not commence until all required materials have been received.

3.2.3 Upon successful accreditation, each webinar will be assigned a unique accreditation number and accreditation mark and will be listed on the CPD Certification Centre Directory. A unique QR code will be provided for participants to access a downloadable CPD certificate confirming their attendance and the CPD credits earned. At the point of webinar expiration, the QR code will cease to be active.

3.2.4 CPD Webinar accreditation slots are not time-bound and may be used as and when required by the Approved Provider. Once accreditation is granted, the standard 36-month accreditation term commences. To extend the accreditation beyond 36 months, a new accreditation slot must be purchased and the webinar resubmitted for assessment.

3.2.5 You must not claim, market, or promote a webinar as a CPD Certification Centre accredited until formal accreditation has been granted and credentials are available in your account. Webinar slots are non-refundable once purchased.

3.2.6 Assessment of webinar submissions will generally commence within 1 to 5 working days of a complete submission being received, subject to the volume and complexity of applications in the assessment pipeline at the time of submission.

3.2.7 CPD Certification Centre reserves the right to decline accreditation for any webinar on the grounds of subject matter, content, delivery approach, ethical concerns, or suitability for professional development purposes.

3.3 CPD Workshop Accreditation (Chargeable Service)

3.3.1 CPD Workshop Accreditation is a Chargeable Service available to Approved Providers. Each workshop submitted for accreditation is assessed individually against the CPD Certification Centre Accreditation Framework.

3.3.2 To enable the CPD Certification Centre to carry out the assessment, you are required to supply all materials and documentation relevant to the design and delivery of the workshop, including facilitator guides, participant materials, session plans, and any assessment instruments used.

3.3.3 Workshop accreditation follows the same assessment, credit allocation, credentialing, and expiry provisions as Course Accreditation set out in clause 3.1, adapted where appropriate to reflect the workshop delivery format.

3.3.4 CPD Certification Centre reserves the right to decline accreditation for any workshop on the grounds of subject matter, content, ethical concerns, or suitability for professional development purposes.

3.4 CPD Event and Conference Accreditation (Non-Chargeable Service)

3.4.1 CPD Event Accreditation is a Non-Chargeable Service available to Approved Providers and qualifying organisations. Each event application is subject to a light-touch accreditation process reviewed against the CPD Certification Centre standards to confirm its suitability as a professional development activity.

3.4.2 Event accreditation applications must be submitted a minimum of two weeks prior to the date of the event. Applications submitted after this deadline may not receive accreditation and are subject to the CPD Certification Centre’s sole discretion.

3.4.3 Upon successful accreditation, each event will be provided with a unique QR code for delegates to access a downloadable certificate confirming their attendance and the CPD credits earned. At the point of event expiry, the QR code will cease to be active.

3.4.4 Event accreditation does not confer accredited status on any individual courses, trainers, or other activities delivered at or in connection with the event. You must not promote or market any such activities as CPD Certification Centre accredited on the basis of event accreditation alone.

3.4.5 You must not claim, market, or promote an event as a CPD Certification Centre accredited until formal accreditation has been granted and credentials have been issued. Submission of an event application is not an indication that accreditation has been granted.

3.4.6 CPD Certification Centre reserves the right to decline accreditation for any event on the grounds of subject matter, content, ethical concerns, or suitability for professional development purposes.

3.5 CPD Podcast Accreditation (Chargeable Service)

3.5.1 CPD Podcast Accreditation is a Chargeable Service available to Approved Providers. Each podcast series submitted is assessed individually against the CPD Certification Centre Accreditation Framework.

3.5.2 To enable the CPD Certification Centre to carry out the assessment, you are required to supply representative episodes, episode transcripts or summaries, details of the subject matter and intended audience, and evidence of the host’s or contributing expert’s relevant expertise and credentials.

3.5.3 Upon successful accreditation, each podcast series will be assigned a unique accreditation number and accreditation mark. A unique access link and code will be provided for listeners to access a downloadable CPD certificate confirming the CPD credits earned. At the point of podcast expiry, the link and access code will cease to be active.

3.5.4 CPD Podcast accreditation slots are not time-bound and may be used as and when required by the Approved Provider. Once accreditation is granted, the standard 36-month accreditation term commences. To extend the accreditation beyond 36 months, a new accreditation slot must be purchased and the podcast series resubmitted for assessment.

3.5.5 Podcast accreditation slots are non-refundable once purchased. You must not claim, market, or promote a podcast as a CPD Certification Centre accredited until formal accreditation has been granted and credentials are available in your account.

3.5.6 CPD Certification Centre reserves the right to decline accreditation for any podcast on the grounds of subject matter, content, delivery approach, ethical concerns, or suitability for professional development purposes.

3.6 CPD eLearning Accreditation (Chargeable Service)

3.6.1 CPD eLearning Accreditation is a Chargeable Service available to Approved Providers delivering self-paced digital learning programmes, online modules, or digital learning platforms.

3.6.2 Each eLearning programme submitted for accreditation is assessed individually against the CPD Certification Centre Accreditation Framework, including evaluation of content quality, digital accessibility, learner navigation, assessment methodology, and active learning time.

3.6.3 To enable CPD Certification Centre to carry out the assessment, you are required to provide full access to the eLearning programme for review purposes, together with all relevant supporting materials including content scripts, learner instructions, and assessment instruments.

3.6.4 eLearning accreditation follows the same assessment, credit allocation, credentialing, and expiry provisions as Course Accreditation set out in clause 3.1, adapted where appropriate to reflect the digital delivery format.

3.7 CPD Trainer Accreditation (Chargeable Service)

3.7.1 CPD Trainer Accreditation is a Chargeable Service available to individual professional trainers who wish to independently verify their credentials and expertise as a CPD delivery professional.

3.7.2 Trainer accreditation applications are assessed against the CPD Certification Centre Trainer Accreditation Framework, which evaluates the trainer’s professional qualifications, industry experience, subject matter expertise, and competency to deliver CPD learning in their specialist area.

3.7.3 Evidence of relevant qualifications and professional experience must be supplied in support of each trainer accreditation application. CPD Certification Centre reserves the right to decline accreditation where an applicant is unable or unwilling to provide sufficient evidence, and to challenge the validity of evidence submitted.

3.7.4 In the United Kingdom, evidence of a current Professional Indemnity Insurance policy with a minimum of three months remaining to expiry is required with all Trainer Accreditation applications. CPD Certification Centre reserves the right to decline accreditation where this requirement is not met. It is the applicant’s responsibility to maintain adequate Professional Indemnity Insurance for the duration of their accreditation period.

3.7.5 CPD Certification Centre reserves the right to decline Trainer Accreditation on the grounds of insufficient experience, lack of appropriate qualifications, or any other factor that, in CPD Certification Centre’s reasonable opinion, renders the applicant unsuitable for accreditation. In such cases, the applicant will be advised in writing and may reapply once the relevant experience or qualifications have been obtained, at no additional reassessment cost.

3.7.6 CPD Accredited Trainer status does not confer accredited status on any courses, events, or other Activities delivered by the accredited trainer. Accredited Trainer status and Activity Accreditation are separate and independent processes.

3.7.7 You must not claim, market, or promote yourself as a CPD Certification Centre Accredited Trainer until formal accreditation has been granted and credentials have been issued.

3.8 CPD Publication Accreditation (Chargeable Service)

3.8.1 CPD Publication Accreditation is a Chargeable Service available to publishers, media organisations, and professional bodies that produce educational articles, journals, or editorial content designed to contribute to the professional development of their readership.

3.8.2 Each publication submitted for accreditation is assessed individually against the CPD Certification Centre Accreditation Framework, with particular attention to the educational quality and relevance of the content, the expertise and credentials of contributing authors, and the professional development value delivered to readers.

3.8.3 Upon successful accreditation, each publication will be assigned a unique accreditation number and accreditation mark. A unique QR code will be provided for readers to access a downloadable CPD certificate confirming the CPD minutes earned from the accredited content.

3.8.4 Publication accreditation follows the same credentialing and expiry provisions as other activity types, adapted to reflect the publication format. The specific terms applicable to publication accreditation plans will be confirmed in writing at the time of submission.

4. Fees and Payment

4.1 All Fees for Chargeable Services are quoted exclusive of UK Value Added Tax (VAT), which will be applied at the prevailing rate at the point of purchase where applicable. Customers located outside the United Kingdom are not charged UK VAT.

4.2 All payments are due in pounds sterling. Payments must be made without set-off, withholding, or deduction, except for any tax required to be deducted by law.

4.3 All Accreditation Plans are contractual commitments. The full Accreditation Fee for the chosen plan is payable upon entering the Contract, regardless of whether payment is made in a single sum or in instalments. The provision of a payment schedule is a payment method only and does not reduce or defer the underlying contractual liability for the total Accreditation Fee.

4.4 The following payment options are available for Accreditation Plans, subject to eligibility:

Payment in full at the time of order, with a discount applied as advertised on the Website at the time of purchase.

Payment by equal monthly instalments over the term of the Accreditation Plan, with the first payment due at the time of order.

Other payment arrangements may be offered and confirmed by CPD Certification Centre in writing at the time of purchase.

4.5 CPD Certification Centre reserves the right to require payment of the full outstanding Accreditation Fee immediately if, in its reasonable opinion, the agreed payment schedule is no longer appropriate, or if you fail to maintain payments in accordance with the agreed schedule.

4.6 Time of payment is of the essence of the Contract. Where payment is not received by the due date, CPD Certification Centre reserves the right to suspend your account and all associated accreditations, and to charge interest on overdue amounts at a rate of 8% per annum above the Bank of England base rate from time to time, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Interest will accrue on a daily basis from the date payment was due until the date payment is received in full.

4.7 Following three consecutive failed payment attempts, or the cancellation of any agreed payment arrangement, your Approved Provider account and all associated accreditations will be automatically suspended. All suspended accreditations will be reflected accordingly on the CPD Certification Centre Directory. During a period of suspension, you are not permitted to claim, market, or promote any Activities as CPD Certification Centre accredited.

4.8 To reinstate a suspended account, all outstanding fees and any applicable administrative charges must be paid in full. Upon receipt of cleared payment, your account will be reinstated within 2 working days and the CPD Certification Centre Directory will be updated accordingly.

4.9 This is a business-to-business contract. The Consumer Rights Act 2015 does not apply to this agreement. However, as a gesture of goodwill, CPD Certification Centre offers a 14-day consideration period from the date of contract commencement as follows:

Where no part of the service has been accessed and no assessment work has been commenced by CPD Certification Centre within the first 14 days, you may request cancellation and a full refund of any payments made will be provided.

Where partial or full service has been delivered within the first 14 days, the cost of work completed will be charged on a pro rata basis. If the amount charged is less than the fees already paid, a partial refund will be issued within 14 days. If the amount charged exceeds the fees already paid, an invoice for the balance will be issued for immediate payment.

4.10 After the 14-day consideration period has elapsed, cancellation of an Accreditation Plan will be subject to a cancellation fee equivalent to 50% of the outstanding fees due for the remaining contractual term, payable immediately upon cancellation. Where the Accreditation Plan has been paid in full upfront, no refund or partial refund will be issued upon cancellation.

4.11 CPD Certification Centre reserves the right to review and adjust its Fees at the end of any Accreditation Plan term. You will be notified of any change to applicable Fees in writing before the commencement of any renewal term.

4.12 Unused accreditation slots within any Accreditation Plan that are not utilised by the end of the contracted term are non-refundable and cannot be carried forward to any renewal or extended plan.

5. Intellectual Property

5.1 Your Intellectual Property

5.1.1 You retain ownership of all intellectual property rights in the Materials you submit to CPD Certification Centre. By submitting Materials to CPD Certification Centre, you grant CPD Certification Centre a limited, non-exclusive licence to use, review, and assess those Materials solely for the purpose of providing the accreditation Services in accordance with these Terms and Conditions. CPD Certification Centre will not use your Materials for any other purpose.

5.1.2 You warrant that the Materials you submit to CPD Certification Centre are your own original work or that you hold all necessary licences and permissions to use them, and that their submission to CPD Certification Centre and use by CPD Certification Centre in the provision of the Services will not infringe the intellectual property rights or any other legal rights of any third party.

5.1.3 You agree to indemnify CPD Certification Centre against all losses, liabilities, costs, and expenses arising from any claim by a third party that our use of Materials submitted by you infringes that party’s intellectual property rights.

5.1.4 CPD Certification Centre accepts no responsibility for any unlicensed use of third-party intellectual property within the Materials you submit. This is your sole responsibility.

5.2 CPD Certification Centre’s Intellectual Property

5.2.1 CPD Certification Centre retains full ownership of all intellectual property rights in the CPD Certification Centre brand, accreditation marks, logos, certificates, identification numbers, framework, and all other materials and content produced or made available by CPD Certification Centre in connection with the Services. Nothing in these Terms and Conditions transfers or assigns any ownership rights in CPD Certification Centre’s intellectual property to you.

5.2.2 Subject to payment of the applicable Fees and compliance with these Terms and Conditions, CPD Certification Centre grants you a non-exclusive, non-transferable, revocable licence to use the specific CPD Certification Centre Accreditation Marks issued to you, solely for the purpose of demonstrating your accredited status as expressly permitted by CPD Certification Centre and in accordance with the CPD Certification Centre Brand Guidelines.

5.2.3 The licence granted under clause 5.2.2 does not extend to any other CPD Certification Centre logos, marks, materials, or content not specifically issued to you, and does not permit you to use CPD Certification Centre’s intellectual property in connection with any Activity, product, or service that has not been individually accredited by CPD Certification Centre.

5.2.4 The licence granted under clause 5.2.2 will be automatically and immediately revoked upon termination or expiry of the Contract, upon suspension of your account, upon breach of these Terms and Conditions, or where CPD Certification Centre reasonably considers that your continued use of the licence could be prejudicial to CPD Certification Centre’s reputation or the interests of any third party.

5.2.5 CPD Certification Centre reserves the right to take such action as it considers appropriate to prevent or remedy any infringement of its intellectual property rights, including the right to seek injunctive relief and to claim damages.

6. Termination

6.1 CPD Certification Centre reserves the right to terminate the Contract with immediate effect by written notice in any of the following circumstances:

where you fail to pay any Fee by the due date or in accordance with the agreed payment schedule, and such failure is not remedied within 7 days of written notice;

where any information provided by you in connection with your registration or any accreditation application is found to be false, misleading, or materially inaccurate;

where you engage in unsatisfactory, unsafe, or unethical training or accreditation practices, or conduct any activity that CPD Certification Centre reasonably considers may be damaging to its reputation or the interests of learners;

where CPD Certification Centre reasonably believes you have falsified training records, learner certificates, accreditation credentials, or any related documentation;

where you, or any representative of your organisation, engage in any form of harassment, abuse, threatening behaviour, or conduct that CPD Certification Centre considers unacceptable toward CPD Certification Centre staff or representatives, whether verbal, written, or otherwise;

where you use any CPD Certification Centre Accreditation Mark in a manner not permitted by these Terms and Conditions or the CPD Certification Centre Brand Guidelines;

where you are in material breach of any other provision of these Terms and Conditions and, where the breach is capable of remedy, fail to remedy it within 14 days of written notice from CPD Certification Centre; or

where you are reasonably believed to be affiliated with a competing CPD accreditation body in a manner that places CPD Certification Centre’s intellectual property at risk.

6.2 You may terminate the Contract subject to the cancellation provisions in clauses 4.9 and 4.10.

6.3 Either party may terminate the Contract immediately by written notice if the other party becomes insolvent, enters administration, receivership or liquidation (other than for the purpose of a solvent reconstruction), or ceases or threatens to cease to carry on business.

6.4 Upon termination of the Contract for any reason, all licences granted under clause 5.2 will cease immediately. You must promptly remove all CPD Certification Centre Accreditation Marks from your website, course materials, social media profiles, marketing materials, and any other location where they appear. All outstanding fees remain due and payable immediately upon termination.

7. Liability and Indemnity

7.1 CPD Certification Centre does not exclude liability for death or personal injury caused by its own negligence, or for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by applicable law.

7.2 Subject to clause 7.1, CPD Certification Centre will not be liable for any indirect, special, incidental, or consequential loss or damage, loss of profit, loss of revenue, loss of business, loss of anticipated savings, or loss of reputation arising out of or in connection with the Contract, howsoever caused.

7.3 Subject to clause 7.1, CPD Certification Centre’s total aggregate liability to you under or in connection with the Contract will not exceed the total Fees paid by you to CPD Certification Centre in the 12-month period immediately preceding the event giving rise to the claim.

7.4 CPD Certification Centre does not warrant or guarantee that accreditation will result in any particular commercial outcome, increase in revenue, growth in learner numbers, or success in any tender, procurement, or contracting process. The value of accreditation depends on many factors outside the CPD Certification Centre’s control.

7.5 All warranties, conditions, or other terms implied by statute or common law are excluded to the fullest extent permitted by applicable law.

7.6 You agree to indemnify CPD Certification Centre and hold it harmless against all losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or in connection with any breach by you of these Terms and Conditions, including any infringement of third-party intellectual property rights resulting from Materials submitted by you.

8. Force Majeure

8.1 Neither party will be liable to the other for any delay or failure to perform its obligations under the Contract where such delay or failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, earthquake, storm, civil unrest, pandemic, epidemic, industrial action, power or internet service failure, acts of terrorism or war, or governmental action.

8.2 The party affected by a force majeure event must notify the other party in writing as soon as reasonably practicable and take all reasonable steps to mitigate the effect of the event. If a force majeure event continues for more than 30 days, either party may terminate the Contract on written notice without liability, other than for amounts already due and payable.

9. Confidentiality

9.1 Both parties agree to treat as confidential all confidential information received from the other party in connection with the Contract, and not to disclose it to any third party without the prior written consent of the disclosing party, except where required to do so by law or regulation.

9.2 CPD Certification Centre will not use your confidential Materials for any purpose other than the performance of the Services, and will not disclose them to any third party without your prior written consent, except where required by law.

9.3 You must keep your CPD Certification Centre portal login credentials confidential and must not share them with any unauthorised person. CPD Certification Centre reserves the right to suspend access to the portal if it reasonably suspects that credentials have been compromised.

10. Data Protection

10.1 Both parties agree to comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and any subsequent amendments.

10.2 CPD Certification Centre will process personal data provided by you in connection with the Services in accordance with its Privacy Policy, which is available on the Website. By accepting these Terms and Conditions, you confirm that you have read and understood CPD Certification Centre’s Privacy Policy.

10.3 Where CPD Certification Centre uses third-party payment processors or other service providers in connection with the Services, your data may be processed by those third parties in accordance with their own terms and privacy policies. CPD Certification Centre will take reasonable steps to ensure that any such third parties provide adequate protection for personal data.

11. General Provisions

11.1 CPD Certification Centre may transfer or assign its rights and obligations under the Contract to a third party, for example in the event of a sale of its business. Where this occurs, CPD Certification Centre will notify you in writing. Your rights under the Contract will not be adversely affected, and the third party will be bound by CPD Certification Centre’s obligations under the Contract.

11.2 You may not transfer or assign any of your rights or obligations under the Contract without CPD Certification Centre’s prior written consent, which will not be unreasonably withheld.

11.3 These Terms and Conditions, together with any documents expressly incorporated by reference, constitute the entire agreement between you and CPD Certification Centre with respect to the Services. Any variation to these Terms and Conditions must be agreed to in writing by duly authorised representatives of both parties.

11.4 Nothing in these Terms and Conditions creates or implies any employment, agency, partnership, or joint venture relationship between the parties.

11.5 If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be severed from the remaining provisions, which will continue in full force and effect.

11.6 Failure by either party to enforce any right or provision of these Terms and Conditions on any occasion does not constitute a waiver of that right or provision on any subsequent occasion.

11.7 Any marketing or promotional materials produced by CPD Certification Centre are provided in good faith as a guide to the Services and do not form part of the Contract. No CPD Certification Centre employee or representative has authority to make representations about the Services that are not confirmed in writing by CPD Certification Centre.

12. Governing Law and Jurisdiction

12.1 These Terms and Conditions and the Contract, including any non-contractual matters and obligations arising from them, are governed by and construed in accordance with the laws of England and Wales.

12.2 Any dispute, claim, or proceedings arising out of or in connection with these Terms and Conditions or the Contract, including any non-contractual matters, will be subject to the exclusive jurisdiction of the courts of England and Wales.

13.2 If you wish to make a complaint about any aspect of the Services, please contact CPD Certification Centre in writing at the address above. CPD Certification Centre will acknowledge your complaint within 5 working days and will endeavour to resolve it within 28 days of receipt.

These Terms and Conditions were last updated in May 2026. CPD Certification Centre reserves the right to amend these Terms and Conditions from time to time. Material changes will be notified to existing Approved Providers in writing prior to taking effect. Continued use of CPD Certification Centre Services following notification of changes will constitute acceptance of the updated Terms and Conditions.
